Terms of Use
The agreement between you and Upperstate for using Script Reader. Plain language where we could manage it; the binding parts are binding all the same.
Last updated October 28, 2026 · Terms · Privacy · Cookies
Please read section 16. It says that disputes are settled by individual binding arbitration, not in court, and that you give up the right to bring or join a class action.
1. Who we are
Script Reader, at reader.upperstate.tv (the "Service"), is run by Upperstate, Inc., a California corporation ("Upperstate", "we", "us"). By creating an account, signing in, paying, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is part of them. If you don't agree, don't use the Service.
2. Your account
You sign in with a one-time link sent to your email. There is no password, so your inbox is your key: keep it secure, and tell us at joseph@upperstate.tv if you think someone else got in. You're responsible for what happens under your account.
You must be at least 13 to use the Service, and if you are under 18 you need a parent's or guardian's permission. One account per person. Give us an email address that is really yours.
3. Your scripts
You own your work. Uploading a script, treatment, pilot or notes (your "Material") gives us no ownership of it.
The license you give us is narrow. You let us store, copy, process and print your Material only to run the Service for you: extract its text, send it to our AI provider for the read, produce the report and its PDF, keep both so you can come back to them, and show them to you and to anyone you share a link with. The license ends when you delete the Material, except for copies in short-lived backups (see the Privacy Policy) and anything we must keep by law.
We don't train on it. We don't use your Material to train or fine-tune AI models, and our AI provider's terms don't let it do so either. We don't sell it, publish it, or show it to other users.
You have the right to upload it. You promise that the Material is yours, or that you have the rights holder's permission to have it read, and that it doesn't break the law or anyone else's rights.
4. The coverage
It is written by AI. Each report is generated by Claude, an AI model made by Anthropic, working from a reader's checklist. It is an opinion about the pages, not a fact about your script, and it can be wrong: it can misread a scene, cite a page incorrectly, or miss what you intended. Check what matters to you against the script.
It is not a promise. Scores and verdicts are not a prediction that a script will sell, place, get made, or win anything. The report is not legal, financial or professional advice.
Industry facts are suggestions. Comparable titles, companies, producers and casting ideas are drawn partly from The Movie Database (TMDB). Naming a person or company is not an endorsement, a claim that they are available or interested, or a recommendation to contact them.
The report is yours to use. You may download it, keep it, and send it to anyone. We claim no ownership of what the report says about your work. The software, design and format of the Service stay ours.
5. Share links
You can make a link to a report. Anyone with the link can read that report, and anyone they forward it to. The link never exposes the script file you uploaded. You can turn a link off at any time, after which it stops working.
6. The library
The library is a collection of produced screenplays, pilots and bibles, kept for study. It is for personal, educational reading only. Every right in those scripts stays with their writers and rights holders. You may read them and keep a copy for yourself. You may not sell, resell, republish, upload elsewhere, or redistribute them, and you may not download them in bulk or by automated means. We may add, remove or change library scripts at any time. Rights holders who want a script removed can write to joseph@upperstate.tv, and we will take it down.
7. What you may not do
- Upload material you have no right to have read, or that is illegal, threatening, or infringes anyone's rights.
- Use bots, scrapers or scripts against the Service, or download the library in bulk.
- Get around reading limits, spending limits, invite codes or paid add-ons, or share an account to do so.
- Try to extract the reader's instructions, reference material or other users' data, including by writing instructions to the AI into an upload.
- Probe, attack or overload the Service, or reverse engineer it except where the law allows.
- Resell access to the Service, or present its reports as a human reader's work for hire.
8. Payments and refunds
During the beta, reads are free. Some sections of a report are paid add-ons, bought one report at a time, and there is a tip jar for anyone who wants to give something back. Prices are in U.S. dollars, are shown before you pay, and may change; a change never affects something you have already bought. Payments are processed by Stripe on its own pages, and we never see or store your card number.
Add-ons. An add-on is delivered when its section is added to your report and its PDF. If an add-on you paid for gives you nothing usable, write to joseph@upperstate.tv within 30 days and we will refund it.
Tips are voluntary gifts, not payment for anything, and are not refundable, except that a tip sent by mistake (the wrong amount, or twice) is refunded if you write within 14 days.
Plans. If we introduce paid plans, we will say so on the site before anyone is charged. A plan renews automatically each period until you cancel; you can cancel at any time from your Account page, and it stays active until the end of the period you paid for. We don't refund partial periods unless the law requires it.
Taxes are added where the law requires. If a charge is reversed or disputed, we may suspend paid features until it is settled.
9. Copyright complaints
We respect copyright and respond to notices under the Digital Millennium Copyright Act (DMCA). If you believe something on the Service infringes your copyright, send a notice to our agent at joseph@upperstate.tv, or by mail to Upperstate, Inc., 3344 Glenhurst Avenue, Los Angeles, CA 90039, that includes:
- your physical or electronic signature;
- the copyrighted work you say is infringed;
- the material you say is infringing, with enough detail (a link is best) for us to find it;
- your name, address, phone number and email;
- a statement that you believe in good faith the use is not authorized by the owner, its agent or the law; and
- a statement, under penalty of perjury, that the notice is accurate and that you are the owner or authorized to act for the owner.
If your material was removed and you believe that was a mistake, you can send a counter-notice to the same address. We close the accounts of people who repeatedly infringe.
10. Other services
The Service relies on other companies, named in the Privacy Policy, and links to some of them. Their terms govern your use of their services; Stripe's terms apply when you pay. This product uses the TMDB API but is not endorsed or certified by TMDB.
Sponsors. Some pages carry one card from a sponsor, marked "Sponsor". A sponsor pays for the space; it has no say in any read, never sees your scripts or reports, and appearing on the site is not our endorsement. Sponsor cards never appear in the library or in your reports.
11. Ending your use
You can delete any script, or your whole account, at any time from inside the Service. We may suspend or close an account, or refuse service, if we reasonably believe these Terms have been broken, or to protect the Service, its users or others. We may also change, pause or stop the Service, or any part of it. If we stop the Service entirely, we will give reasonable notice where we can so you can download your reports first. Sections 3 (to the extent of backups), 4, 7, 8 and 12 through 17 survive the end of your use.
12. Changes to these Terms
We may update these Terms. The date at the top shows the current version. If a change is material, we will tell you by email or on the site before it takes effect. Using the Service after a change takes effect means you accept it; if you don't, stop using the Service and delete your account.
13. Disclaimers
The Service, the coverage, the library and all content are provided "as is" and "as available". To the fullest extent the law allows, Upperstate disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that any report is accurate, complete or fit for any purpose, or that the Service will be secure or always available. We are not responsible for outages caused by our service providers or by events beyond our reasonable control. Nothing here excludes a warranty the law does not let us exclude.
14. Limitation of liability
To the fullest extent the law allows, Upperstate and its officers, employees and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, opportunities, data or goodwill, arising from the Service or these Terms, even if advised of the possibility. Our total liability for any claim is limited to the amount you paid us in the twelve months before the claim arose, or $100 if that is more. Nothing here limits liability the law does not let us limit.
15. Indemnity
If someone makes a claim against Upperstate because of Material you uploaded, or because you broke these Terms or the law, you agree to cover our reasonable losses and costs, including reasonable legal fees. We will tell you about the claim and let you help defend it.
16. Disputes and arbitration
Talk to us first. Before any formal claim, write to joseph@upperstate.tv with a short description of the problem and how to reach you, and give us 60 days to try to sort it out.
Arbitration. If we can't, any dispute relating to the Service or these Terms will be resolved by individual binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, by desk, phone or video where possible. The Federal Arbitration Act governs this section. The arbitrator, not a court, decides questions about the scope or enforceability of this agreement to arbitrate. Judgment on the award may be entered in any court with jurisdiction.
No class actions. You and Upperstate each bring claims only individually, never as a plaintiff or class member in any class, collective or representative proceeding, and the arbitrator may not consolidate claims.
Exceptions. Either of us may bring an individual claim in small-claims court instead, and either of us may ask a court for an injunction against infringement or misuse of intellectual property.
If the class-action waiver is found unenforceable for a claim, that claim goes to court, not arbitration, and the rest of this section still applies.
17. General terms
Law. These Terms are governed by the laws of the United States and, where not preempted, the State of California. Any court proceeding permitted by section 16 will be in Los Angeles County, California.
Time limit. Any claim must be brought within one year after it arose, or it is barred, to the extent the law allows.
The rest. If part of these Terms is unenforceable, the rest still applies. Our not enforcing a term is not a waiver. You may not transfer these Terms; we may transfer them with the Service. These Terms and the Privacy Policy are the whole agreement about the Service. You agree to receive notices from us electronically, by email or on the site. Headings are for convenience only.
